Terms of engagement
These terms apply when you commission a report, cut, note reading, briefing, or chart pack from Service Pathbase.
Acceptance
A scoping call does not create a contract. A contract is formed when we send a short confirmation naming the engagement, fee, deposit, and extract assumptions, and you accept in writing (including email). If you send an extract before that confirmation, we will not begin charting until you accept.
The work
We prepare written reports, tables, charts, and briefings as described on this site and in the confirmation. We do not grant software licences, seats, or ongoing access to any system. Deliverables are PDF (and printed copies if quoted). You remain responsible for your subscriber relationships, billing, and any notices required by consumer law.
Extracts
You warrant that you have the right to provide the extract and that it will not include full payment-card numbers, passwords, or special-category data unless we have agreed a separate note. We may pause the timeline if the file cannot support the charts named in the confirmation.
Intellectual property
You keep ownership of your extract. On full payment, you receive a licence to use the delivered pack inside your organisation, including board and investor meetings. You may not resell the pack, publish it as a public benchmark, or present it as if another house’s figures. Our codebook templates and uncommissioned methods remain ours. We may describe the type of work in our own materials without naming you, unless you ask us in the confirmation to keep the commission private.
Liability
Reports are professional opinion based on the extract you supply. They are not a guarantee of future renewals, nor legal, tax, or investment advice. Our liability for a commission is limited to the fees paid for that commission, except where the law of the United Kingdom does not allow a limit (including death or personal injury caused by negligence, and fraud). We are not liable for lost profits or for decisions you take after a briefing.
Fees and timing
Deposits and balances follow the confirmation and the rates page. Late extracts move the delivery date. Briefings cancelled with less than five working days’ notice may be charged as set out in our refund page.
Governing law
These terms are governed by the law of England and Wales, and the courts of the United Kingdom have jurisdiction, except that we may seek an injunction in the courts of the place where a misuse of a pack occurs.
